Terms of Service

1. Acceptance

By accessing or using any services, platforms, dashboards, or websites provided by Brownsmith Management and Holdings LLC, d/b/a Brownsmith Automation ("Provider," "we," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

2. Services

Provider offers technology services including custom web design, process automation, virtual office services, AI receptionist and virtual assistant services, and technology consulting. Access to specific services is governed by a Master Service Agreement and/or Statement of Work executed between Provider and the client.

3. Accounts & Access

Certain services require an account or login credentials. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use. Provider reserves the right to suspend or terminate accounts that violate these Terms.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information necessary for service delivery
  • Maintaining the security of credentials and access tokens provided by Provider
  • Reviewing and verifying AI-generated content, summaries, and transcripts before acting on them
  • Complying with all applicable laws and regulations in their use of the services
  • Ensuring they have authority to authorize communications sent to their callers and contacts

5. AI-Generated Content

Certain services use artificial intelligence to generate call transcripts, summaries, action items, and other content. AI-generated content is provided for informational purposes and may contain errors, omissions, or inaccuracies. Provider does not guarantee the accuracy, completeness, or reliability of AI-generated content. Clients are responsible for verifying all AI-generated content before relying on it for business decisions.

6. Prohibited Uses

You may not use our services to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, make unsolicited calls, or engage in any form of harassment
  • Impersonate any person or entity
  • Interfere with or disrupt the services or servers
  • Attempt to gain unauthorized access to any part of the services
  • Use the services for any purpose not authorized by your service agreement
  • Reverse engineer, decompile, or disassemble any part of the services

7. Intellectual Property

All content, software, designs, and materials provided by Provider remain Provider's intellectual property unless explicitly transferred under a service agreement. Client deliverables are owned by the client upon full payment as specified in the applicable SOW.

8. Third-Party Services

Our services may integrate with third-party platforms (telephony providers, AI processors, payment processors, calendar services). Provider is not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

9. Uptime & Availability

Provider strives to maintain high availability of all services but does not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Provider shall not be liable for damages resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE CLIENT DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. PROVIDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold Provider harmless from any claims, damages, losses, or expenses arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.

12. Modifications

We may modify these Terms at any time by posting an updated version on our website. Material changes will be communicated to active clients via email. Continued use of the services after modifications constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Illinois without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in Cook County, Illinois.
